Join the Healius Peptides Affiliate Program

This program is operated by Healius Peptides Ltd, (“Healius Peptides”, “we”, “us”, or “our”).

By applying to or participating in the Healius Peptides Affiliate Program (the “Program”), you (“Affiliate”, “you”, “your”) agree to these Terms and Conditions (the “Terms”). If you do not agree, do not join the Program.

1. Definitions

• Affiliate means an individual or entity approved to participate in the Program.
• Referral Link means the unique tracking URL issued to an Affiliate.
• Discount Code means the unique coupon code issued to an Affiliate, which applies a discount to a customer’s order and attributes that order to the Affiliate.
• Customer means a person who purchases products from Healius Peptides.
• Qualifying Sale means a customer order that is attributed to an Affiliate, has cleared the hold period in clause 10, and has not been refunded, cancelled, or charged back.
• Commission means the amount payable to an Affiliate on a Qualifying Sale, calculated under clause 9.
• Tier means the Affiliate’s commission band under clause 6.

2. Program Overview

The Program allows approved Affiliates to earn Commission by referring new and returning Customers to Healius Peptides using their Referral Link or Discount Code. Participation does not create any employment, agency, partnership, or joint venture relationship between you and Healius Peptides.

3. Eligibility

To participate, you must:

• Be at least 18 years of age;
• Operate a genuine website, blog, social media account, newsletter, podcast, or comparable online platform;
• Not engage in spam, fraud, deceptive marketing, or any unlawful activity;
• Not make false, misleading, or unauthorised claims about Healius Peptides or its products;
• Comply with all laws applicable to you and to your promotional activity.

4. Application and Approval

Participation is subject to application and approval at our sole discretion. We may approve or reject any application, and we may apply automatic or manual approval at our election. On approval, you will be issued your Referral Link and Discount Code. We may withdraw approval at any time under clause 21.

5. Affiliate Links, Discount Codes, and Tracking

5.1 On approval, each Affiliate is issued a unique Referral Link and a unique Discount Code. By default the Discount Code applies a 10% discount to the Customer’s order. A different discount value may be issued only with our prior written agreement and is subject to approval.

5.2 Referral Link tracking is cookie-based. When a Customer arrives via an Affiliate’s Referral Link, a tracking cookie is set, and the resulting order is attributed to the Affiliate if the Customer completes a purchase within 90 days of the click, on a last-click basis.

5.3 Discount Code tracking operates independently of cookies. An order is attributed to the Affiliate whenever the Customer applies the Affiliate’s Discount Code at checkout, whether or not a Referral Link was used.

5.4 Discount Codes may be limited to new Customers and to one use per Customer at our discretion.

5.5 Attribution relies on third-party tracking technology and on the Customer’s browser and device settings. We do not warrant that every order will be tracked, including where cookies are blocked, cleared, or expire, where a Customer uses a different device, or where a third-party checkout or payment gateway interferes with tracking. Clause 20 applies.

6. Commission Structure and Tiers

6.1 Commission is earned on a tiered basis, determined by the Affiliate’s cumulative number of Qualifying Sales:

6.2 An Affiliate’s Tier is determined by their number of approved orders over the preceding 90 days, assessed on a rolling basis. As this figure rises or falls, the Affiliate’s Tier and applicable Commission rate may move up or down accordingly. The applicable rate applies to orders placed while the Affiliate is in that Tier and is not applied retrospectively to earlier orders.

6.3 We reserve the right to determine and adjust an Affiliate’s Tier, and to vary the Tier structure on notice under clause 22.

7. Recurring Commission on Repeat Orders

7.1 When a Customer is first referred by an Affiliate, that Customer is linked to the Affiliate.

7.2 The Affiliate earns Commission at their applicable Tier rate on subsequent orders placed by that linked Customer for a period of 90 days from the Customer’s first attributed order.

7.3 After the 90-day period has elapsed, no further Commission is payable on that Customer’s orders, except where the Customer again purchases using the Affiliate’s Referral Link or Discount Code, in which case the order is attributed afresh under clause 5.

8. Multi-Level (Referral) Commission

8.1 An Affiliate who recruits another Affiliate using their Referral Link earns 10% of that recruited Affiliate’s Commissions for as long as the recruited Affiliate remains active in the Program.

8.2 This amount is paid by Healius Peptides in addition to the recruited Affiliate’s own Commission and is not deducted from it.

9. Commission Calculation

9.1 Commission is calculated on the net product value of each Qualifying Sale, excluding shipping, taxes, duties, and any amounts refunded or charged back.

9.2 Where a Customer completes an order using the Affiliate’s Discount Code, the discount is applied before Commission is calculated. Commission is therefore calculated on the discounted product value, and the Commission payable on a discounted order will be correspondingly lower than on an equivalent full-price order placed via a Referral Link.

9.3 Commission is earned at the Affiliate’s applicable Tier rate as at the date the order is placed.

9.4 Only one Commission is payable per order. Where an order carries both a Referral Link attribution and a Discount Code belonging to the same Affiliate, a single Commission is payable. Where a Referral Link and a Discount Code belonging to different Affiliates are present on the same order, the order is attributed to the Affiliate whose Discount Code was used.

9.5 Affiliates may not earn Commission on their own purchases. Personal-use discount codes do not generate Commission.

9.6 Commissions are calculated and paid in US dollars (USD). Orders placed in other currencies are converted at the prevailing rate at the time of the order.

10. Payment Terms

10.1 Commissions are paid monthly, processed within the first week of each calendar month for the preceding month’s confirmed Commissions.

10.2 Commissions are subject to a 30-day hold from the date of the order to allow for refunds, cancellations, and chargebacks. Commission on any order that is later refunded, cancelled, or charged back is reversed and deducted from the Affiliate’s balance.

10.3 Payment methods are bank transfer (SWIFT), PayPal, or cryptocurrency, at the Affiliate’s election where available.

10.4 A minimum payout threshold of [insert amount, e.g. USD 50] applies. Balances below the threshold carry over to the following month. (Delete this clause if you do not wish to operate a threshold.)

10.5 The Affiliate is responsible for providing accurate payment details and for any transaction, transfer, or conversion fees levied by the chosen payment method.

11. Promotional Conduct

You agree that you will:

11.1 Promote Healius Peptides honestly and only through lawful channels and your own approved platforms;

11.2 Not post, list, submit, or distribute your Discount Code on any coupon, voucher, deal, cashback, or discount-aggregator website;

11.3 Not bid on Healius Peptides branded keywords (including “Healius Peptides” and close variants) in paid search, and not use the Healius Peptides name or marks in paid advertising copy without our prior written permission;

11.4 Not represent yourself as Healius Peptides, or as authorised to make statements, offers, warranties, or commitments on our behalf.

12. Advertising Disclosures and Compliance

12.1 You must clearly and conspicuously disclose your material connection to Healius Peptides wherever you promote our products, in accordance with the law applicable to your audience, including the US Federal Trade Commission Endorsement Guides (16 CFR Part 255), the UK CAP Code and ASA guidance, and the Australian Competition and Consumer Act and AANA Code.

12.2 You are responsible for ensuring your promotional content complies with all applicable advertising, consumer-protection, and platform rules.

13. Prohibited Activities and Claims

You must not:

13.1 State or imply that Healius Peptides products are intended for human or veterinary consumption, or for therapeutic, diagnostic, clinical, medical, or curative use, and you must maintain the research-use-only framing in all promotional content;

13.2 Make false, misleading, or unsubstantiated claims about our products, testing, or business;

13.3 Engage in cookie stuffing, forced clicks, self-referral, fabricated traffic, or any other fraudulent or manipulative tracking activity;

13.4 Send unsolicited commercial email (spam), or otherwise breach applicable email and electronic-marketing law, including the US CAN-SPAM Act, the UK Privacy and Electronic Communications Regulations, and the Australian Spam Act 2003;

13.5 Create or solicit fake reviews, testimonials, or engagement;

13.6 Operate accounts with fake audiences or artificially inflated engagement.

Breach of this clause is grounds for immediate termination and forfeiture under clause 21.

14. Intellectual Property and Brand Assets

14.1 We grant you a limited, non-exclusive, revocable, non-transferable licence to use the Healius Peptides name, logos, and approved marketing materials solely to promote our products under these Terms.

14.2 You must not alter our marks or materials, register or use any confusingly similar name, mark, or domain, or use our intellectual property in any way not expressly permitted.

14.3 This licence terminates automatically on termination of your participation, and you must then cease all use of our intellectual property.

15. Independent Contractor Relationship

You participate as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship, and you have no authority to bind Healius Peptides.

16. Taxes

You are solely responsible for determining, reporting, and paying any taxes arising from Commissions you receive. We may require you to provide tax or identity information before processing payments.

17. Data Protection

17.1 We process your personal data in accordance with our Privacy Policy.

17.2 Where you collect or process any personal data of Customers or prospects in the course of your promotional activity, you are responsible for doing so lawfully and in compliance with all applicable data-protection law.

18. No Guarantee of Earnings

Participation in the Program does not guarantee any level of traffic, sales, or earnings. Any examples of potential earnings are illustrative only.

19. Indemnity

You will indemnify and hold harmless Healius Peptides and its officers, employees, and agents against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your promotional activity, or any false, misleading, or unlawful statement you make about our products.

20. Limitation of Liability

20.1 To the fullest extent permitted by law, Healius Peptides is not liable for technical faults, tracking failures or errors, cookie loss, or third-party platform or payment failures that affect tracking or Commission. We will make reasonable efforts to investigate and resolve genuine discrepancies brought to our attention promptly.

20.2 To the fullest extent permitted by law, our total aggregate liability to you in connection with the Program is limited to the total Commission validly payable to you in the three months preceding the event giving rise to the liability.

20.3 Nothing in these Terms limits any liability that cannot lawfully be limited.

21. Term and Termination

21.1 Either party may terminate the Affiliate’s participation at any time, for any reason, on written notice.

21.2 We may suspend or terminate an Affiliate’s account immediately and without notice where the Affiliate breaches these Terms, engages in fraud, or causes or threatens harm to the Healius Peptides brand.

21.3 On termination, you must immediately cease all use of Healius Peptides Referral Links, Discount Codes, marketing materials, and intellectual property.

21.4 Commission validly earned on Qualifying Sales before termination remains payable, subject to the hold period in clause 10 and to refund adjustments, except where termination arises from your fraud or material breach, in which case we may withhold or forfeit unpaid Commission connected to that fraud or breach.

22. Changes to the Program and Terms

We may modify the Program or these Terms at any time. We will notify Affiliates of material changes by email or through the affiliate dashboard. Your continued participation after a change takes effect constitutes acceptance of the updated Terms.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them. (Confirm this matches the jurisdiction of your operating entity before publishing.)

24. General

24.1 If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

24.2 Our failure to enforce any provision is not a waiver of that or any other provision.

24.3 You may not assign or transfer your participation without our prior written consent. We may assign these Terms.

24.4 These Terms constitute the entire agreement between you and Healius Peptides in relation to the Program.
